Constellium Files Registration Statement for Secondary Offering
Amsterdam, December 6, 2013 – Constellium N.V. (NYSE and Euronext NYSE: CSTM) announced today that it had filed a registration statement on Form F-1 with the U.S. Securities and Exchange Commission relating to a proposed secondary offering of its ordinary shares. All of the shares to be sold in the offering will be sold by an affiliate of Rio Tinto Plc. The Company will not receive any proceeds from the sale of the shares.
A registration statement relating to the ordinary shares has been filed with the U.S. Securities and Exchange Commission but has not yet become effective. The ordinary shares may not be sold, nor may offers to buy be accepted, prior to the time the registration statement becomes effective. The registration statement can be accessed via the U.S. Securities and Exchange Commission internet site at www.sec.gov, or through Constellium’s website at www.constellium.com.
